Happy Friday Eve y’all! So here’s a moment of transparency. If I’m being completely honest, 2020 was not that bad of a year for me personally. Although my business did slow down a bit, I work for myself so I didn’t lose my job. However, I do feel like a lot of the momentum that I had going was lost due to the sudden changes that affected everybody. Furthermore, the emotional roller coaster caused both by things happening in our world and situations in my own private lif...e, definitely got in the way of what I was trying to do. HOWEVER, I’m smiling from ear to ear because God is constantly reminding me that He is faithful! No, I couldn’t work as much on my practice as I would’ve liked (due to a shortage of time or mental bandwidth) because my kids’ school was closed, but I got SO much closer to them...AND I was still able to hire someone for the first time before the year was over! Now I’m preparing for takeoff Let me encourage you to write those goals and visions that God gave you down. And if He inspires you to put a timeframe with it...do that too! Sure, I didn’t accomplish everything I set out to do last year, but there was one checkpoint for 2020 in the 5-year plan that I created in 2019...and I accomplished that thing! Happy victory Monday! I’m geeked because the #Browns just won their first playoff game since I was 7. No, that doesn’t have much to do with this post, and I’m sure God was impartial to the outcome of the game. However, last night’s game illustrates this nicely. For the 99% of you who care nothing about my beloved Browns, you probably didn’t know that the head coach, some assistant coaches, and several All-Pro players were out due to covid or injury. They also had to shut d...own their facility and couldn’t practice, rather having to resort to zoom for game planning. The QB said he actually had to introduce himself to some of his replacement linemen for the first time in the locker room before the game. If there was ever a game to just be happy to be there, this was it. But no, those guys came to win...and did... In my son’s old preschool class, they had one rule that was paramount to all of the others: ALWAYS DO YOUR BEST. Simple and straightforward, this rule...designed to help preschoolers develop the skills needed to navigate both this big world and their own small but immeasurably significant existence by emphasizing the gravity of giving their best effort to whatever lie before them...speaks volumes of the recipe (process) for a successful life. The reality is that everything won’t go your way all of the time. In fact, most times, you’re in very little control over what happens to you. But you’re ALWAYS in control of your actions and your effort, and God has big plans for YOU! Remember, you’ll absolutely end up where you want to be if you prioritize EFFORT over OUTCOME and PROCESS over PRODUCT. ALWAYS DO YOUR BEST. Happy Friday Family! I just want to take a moment to honor my wife and hero Shayanna Golden. She took this picture this morning, as she’s working an extra shift in one of Emory’s COVID-19 units (she normally works in the cath-lab, but help is needed here, as you may expect). Like so many healthcare heroes across the world, my wife runs head-first into a danger zone with a smile on her face because that’s what these people need right now. What this picture does NOT show ...you, is that 12 hours ago, we embraced each other, crying and praying, after we found out that her grandmother (83) was in ICU at a hospital in Cleveland with pneumonia and having tested positive for COVID-19. This picture doesn’t show you the grim reality that in less than 3 hours into the shift, she’s already witnessed someone succumb to this thing. The pain that comes with knowing that you can’t share these moments with someone you love so dearly is devastating. BUT WE BELIEVE GOD, for perfect healing for Nana, whether it comes in this life or the next, on earth or in heaven. And we thank God for peace and joy, regardless of whatever happens. So I honor this hero, and all the others like her, who are not only caregivers, but also surrogate family members to folks who are enduring some of the scariest moments of their life without the people closest to them nearby. Everybody is going through something, but we will get through this, and we’ll be better and stronger when we do. It’s real. It sucks. It’s scary. But it’ll all be ok. Show some grace today. HAPPY FREEBIE FRIDAY!!! Let’s talk about what it takes to prove someone else was liable in a slip & fall case. Like in all personal injury cases, a slip & fall plaintiff has the responsibility of proving that the other side (in this case, property owner/business operator/etc) was negligent. You have to prove that they were, they don’t necessarily have to prove that they weren’t. How does that look in a slip & fall case? I’m glad you asked! These cases can be more compli...cated than other types of PI cases (i.e. car accidents) because it’s more difficult to prove that someone’s (specifically the owner’s) negligence is the reason you’re hurt. If someone rear-ends you, that’s pretty cut&dry. They messed up, you got hurt, they’re liable. But what if you slip on something? Who’s fault is it when you don’t know how the substance you slipped on got there? Well that depends, largely on these 3 questions. HAPPY FREEBIE FRIDAY!!! Let’s talk about the difference between Covers and Samples. Let’s say you’ve written, recorded and released a song, and now someone else wants to use it. Remember when I said you own the right to earn money off of your creation? Whoever wants to use your song must compensate you for it. HOW you’re compensated depends on HOW they plan to use your song (because copyright law handles these situations differently).... If someone COVERS your song, they re-record your it with their own performance. They’re not using any of the original sound recording, just the underlying composition. Here, they don’t necessarily need your permission to do so (or more accurately, you can’t really stop them from doing so), but they have to pay you a statutory amount set by Congress. SAMPLES are different. If someone wants to sample your song, they’re actually using a piece of your sound recording within their own song. Here, there are 2 copyrights in play (recording and composition). In these situations, there is no statutory amount set by Congress, so the party that wants to sample your song has to clear it with you (and pay you a negotiated fee). Happy Monday family! As promised, here are 4 things to consider before you sign (or turn down) a publishing deal. As you may recall from my earlier videos, publishing is a revenue stream that is reserved exclusively for songwriters, unless that song writer gives all or part of their publishing rights away. Some people will tell you to keep all of your publishing rights and administer your publishing yourself, because that ensures you keep all of what you’re entitled to.... Other people will tell you that you need a pub deal, because it unlocks opportunities and frees you up to just create. Neither are wrong. But what works for one, may not work for all. Maybe you’re well connected, business savvy, and already have a ton of placements and are known in the industry as a great writer. For you, it may make sense to do it yourself. But someone who is relatively unknown but super talented may benefit from an entity giving them some financial breathing room with an advance, while getting their music placed and taking care of the business of publishing. My point is, always do what’s best for you at the moment. Don’t be swayed by fast talkers telling you what you need, YOU determine what you need and then proceed. And always believe in and bet on yourself! HAPPY FRIDAY FAMILY!!! Let me tell you some of the stuff I’ve seen in some entertainment contracts Essentially, the purpose of contracts are to memorialize the complete agreement between the parties, and to define what happens if something goes wrong. Yes, I may have over-simplified this, but what are contracts is not the point of this post. At the core, anything you sign needs to accurately reflect what you agree to. Many contracts are peppered with language th...at non-lawyers don’t fully understand. Unfortunately, many people sign deals based on the 50% (if that) of the contract they do understand and hope the rest works itself out; that’s even if they read beyond the advance. Signing some of these deals without your own lawyer reviewing them, simply because whoever presented you with it said it was good is like going to a used car lot, saying give me [any] car, and without any price check/CarFax/test drive/anything, take the salesperson’s word when they tell you you’re getting a great deal. You COULD be getting a great deal, but you probably aren’t. You need to understand that the person/entity that’s presenting you with a contract hired someone to draft it...who do you think it’s going to benefit the most? TO BE CLEAR, any contract I draft for a client is going to be FAIR and will never contradict what the parties expressly agreed to; and I’ll always recommend the other side have their own lawyer review it (I can’t say the same is true for everyone). However it will certainly always FAVOR my client’s interests over the other party’s, because that’s my job. It’s not my job to do the other party’s due diligence. Sometimes, you may not have the bargaining power to negotiate more favorable terms for yourself. Not too long ago, I was talking with my wife about branding herself and intentionally sharing her life as a wife, mom, nurse, student, and worship leader on social media, and how she could be a great resource to many. Not with any intention to be famous or an influencer, but just to add value to people’s lives based on her experiences, wisdom, and all around dope-ness. But then she said, but what if I DO get popular and are asked to travel and speak etc? I’m not good at t...hat...I don’t even want that! To that I responded, God doesn’t waste elevation on people who aren’t ready, so IF that happens, you’ll be ready (because everything God does is to bring glory to himself). There’s humility, and then there’s fear. Moses was called by God to be the vehicle in which God fulfilled his centuries-old promise to deliver His people out of bondage, but he gave every excuse as to why he couldn’t do what God said do. He wasn’t humble, he was scared. But luckily, God wasn’t letting Moses’s fear stop His agenda. Sure, some people want to be stars. But I think most people want to be low-key. Many people are afraid to let their light shine, not because they fear it won’t be bright enough, but rather that it’ll be too bright! I want to encourage you to do the hard work of actually gassing yourself up! Yup, brag on yourself TO yourself, then understand that you have something that the world needs. Then GO! So, here’s a quick recap of Part 1 video about publishing: if you wrote it, the money it generates is yours unless you give it away. So you may ask, why would I ever give income-generating rights to MY art away? Many established songwriters and artists will encourage you to keep your publishing, which I don’t think is ever bad advise. They are, after all, encouraging you not to screw yourself ou...t of the fruits of your song’s success. However, what’s best in your situation may be to take a different approach. The first thing we need to do is understand what a music publisher does, and then, whether or not you can handle these tasks yourself. Another consideration is whether you could achieve the same exposure for your music without a record/pub deal. Here’s a free hint that isn’t part of this video, ask the questions above of the company you’re considering signing with, just as you would ask them of yourself. If you’ve decided that the best way to achieve your goals is a record/pub deal, ask if this (particular) company has the resources, connections, time, and desire to commit to your reaching them. I’ve seen terrible deals from huge companies, and I’ve seen terrible deals from tiny startup companies (and everything in between). I’ve also seen good deals from companies of all sizes. I know I may be guilty of over-simplifying a pretty confusing topic, but there’s no point in discussing nuances without first understanding the big picture. If you wrote it, it’s yours (unless you give ownership away).... So naturally, if it’s yours, you have the right to receive the income it generates (unless you give that right or a portion of it away). That’s where publishing comes in. There are many opportunities to give your rights away, such as failing to register your copyright (removing your ability to enforce your copyright), signing your rights away as part of recording or publishing contracts, etc. Sometimes, it makes sense for you to assign a portion of your publishing rights away. Shout this out with me: NO BAD DEALS IN 2020!!! Let me be clear, all deals aren’t bad, but all deals aren’t equal. There’s a reason most of the biggest artists and writers keep recording and publishing contracts. There’s also a reason other people think labels are evil. It breaks my heart every time a client or friend asks me to review a contract they’ve locked themselves into before having a lawyer review/negotiate for them, and they realize something isn’t right. Occa...sionally there are steps we can take to get someone out of a bad contract, but usually I have to be the bearer of bad news... One of the fundamentals of US contract law is that people can enter into whatever agreements they want to, and courts won’t interfere just because the contract is lopsided. It’s YOUR responsibility to know what you’re signing. The reality is that every contract is different, and not everyone has the same bargaining power. So naturally, every contract may not have your ideal terms. That may mean you need to walk away, or it could mean you can sign, but need to tailor your approach accordingly. The bottom line is you need someone in your corner that can coach you through the process. Would you rather hire an attorney, or lock yourself into a bad situation for a 2 year initial term and 3-1 year company options? However, you may not automatically have a good case against the property owner, just because you fell. In order to be found responsible for your fall, the property owner must have been negligent.... Far too often, artists, producers, songwriters, etc. enter into agreements in which they give more and receive less than what they bargained for. They then either seek out the services of an attorney to fix it, or simply chalk it as a loss and complain that they got screwed or taken advantage of. As one highly successful, recording artist and radio... show host once stated: It’s not their fault that you signed an agreement without full knowledge of its contents, nor is their responsibility to negotiate for both you and them. Rather, it’s your job to educate yourself... The harsh reality is that each side has to advocate for their own interests, and no one is going to take it easy on you for not being on point (sad but true) I can’t emphasize this enough, you NEED to have an attorney look over any contract you’re presented with, BEFORE you sign! This is not only to ensure the contract reads favorably to you (because depending on your bargaining power, you may not have the clout to necessarily change the terms), but more importantly to ensure you’re 100% clear on exactly what you’re signing. HAPPY HUMP DAY FAMILY!!! So we’ve made it to the middle of the week. Wednesday...Hump Day...the day champions are made! In my son’s old preschool class, they had one rule that was paramount to all of the others: ALWAYS DO MY BEST. Simple and straightforward, this rule...designed to help preschoolers develop the skills needed to navigate both this big world and their own small but immeasurably significant existence by emphasizing the gravity of giving their best effort... to whatever lie before them...speaks volumes of the recipe (process) for a successful life. If you’re like me and grew up adopting Nike’s famed slogan Just Do It as your personal mission statement, you put a lot of pressure on yourself to perform, to go-get whatever you’re chasing, and to simply Git-R-Done! Certainly this isn’t a bad thing, after all, no one ever accomplished anything substantial without grinding. However, I couldn’t function or have any peace if my desired results weren’t realized. The reality is that everything won’t go your way every time, and most times, you’re in very little control over what happens TO you. But you’re ALWAYS in control of your actions and your effort, and God has big plans for YOU! Jury awards Marvin Gaye's children over $7 mil in "Blurred Lines" lawsuit. I think this especially bad because it's not just about the money. Unlike the Sam Smith/Tom Petty dispute which resulted in an out-of-court settlement that gives Petty royalties for "Stay With Me", a jury decided that Thicke and Pharrell were guilty of copyright infringement, which sets a confusing precedent as to where the infringement line is drawn. Clearly "Blurred Lines" was inspired by, and took ...the feel of "Got to Give It Up". Pharrell even said he pretended he was Marvin Gaye when he wrote it. You can't steal someone else's work and take credit for it as your own, but you also can't (or shouldn't be) prevented from replicating a particular genre, sound, or feel. If you think about every Christian song with a 1-5-6-4 progression and "boom boom cat, cat-cat, boom-cat" drum beat, every other trap beat made since '05, or rock ballad, you'll recall how similar music is across the board. But similar doesn't mean the same. Now artist, writers, and producers must be extra careful not only to refrain from copying, but also to juxtapose their original work with what is already in the musical universe to make sure they won't get hit for millions in a lawsuit if their song blows up. http://m.billboard.com/entry/view/id/117983
